Naftogaz head stands for early election of supervisory board independent members at transparent competition

KYIV. Sept 10 (Interfax-Ukraine) – Yuriy Vitrenko, Chairman of the Board of NJSC Naftogaz Ukrainy, considers it necessary to hold an open transparent competition as soon as possible to select independent members of the company’s supervisory board.

"In short: let all independent members of the supervisory board be finally selected as soon as possible through an open and competitive process, through assessing the merits of candidates and the benefits they can bring to the Ukrainian people," Vitrenko wrote on Facebook on Friday.

At the same time, the Naftogaz head does not believe that the current independent members of the company’s supervisory board were elected on a transparent basis.

"Unfortunately, back in 2017, there was no open competitive process for selecting independent members of the Naftogaz’s supervisory board. They were simply proposed by the embassies of the respective countries, together with representatives of the IFIs. Then, without a competition, one independent member was appointed by the Groysman government [Prime Minister Volodymyr Groysman]. Then the independent members were reappointed. Then again. Then again," Vitrenko said.

According to him, as a result, "among independent members there is not a single one with specialized [oil and gas] education and production experience, not a single one with legal education and experience, [no] a good certified specialist in international financial reporting standards, even just not a single specialist with experience work in Ukraine."

"If we sincerely support the supervisory board as an institution, and not as personalities, and if we really support the corporate governance reform in the interests of the Ukrainian people, then let’s support the holding of a real competition for all independent members of the supervisory board as soon as possible," the Naftogaz head said.

As reported, the last meeting of the supervisory board of Naftogaz Ukrainy in its current composition will be held on September 20 this year.
